Terms of Service

1. Agreement to Terms

By accessing or using WagerKit ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

WagerKit is an Event-Odds Integrity & Provenance Platform that provides:

• Integrity scoring for prediction markets
• Cross-venue divergence detection
• Provenance tracking and resolution dossiers
• API access for odds data enrichment
• Webhook notifications and alerts

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your API keys
• All activities under your account
• Notifying us immediately of unauthorized access

3.3 Accurate Information

You must provide accurate, current information during registration and keep it updated.

4. Acceptable Use

You agree NOT to:

• Violate any laws or regulations
• Infringe intellectual property rights
• Transmit malware or malicious code
• Attempt to gain unauthorized access to systems
• Reverse engineer or decompile the Service
• Exceed rate limits or abuse API endpoints
• Scrape or harvest data without permission
• Resell or redistribute the Service without authorization

5. Subscription and Billing

5.1 Plans

We offer Base, Pro, and Enterprise plans with different features and limits. See Pricing for details.

5.2 Payment

Subscriptions are billed monthly or annually in advance. Payments are non-refundable except as required by law.

5.3 Rate Limits

API rate limits are enforced per plan tier. Exceeding limits may result in throttling or service suspension.

5.4 Cancellation

You may cancel anytime. Cancellation takes effect at the end of your current billing period.

6. Intellectual Property

6.1 Service IP

WagerKit and its original content, features, and functionality are owned by WagerKit, Inc. and protected by copyright, trademark, and other laws.

6.2 Your Data

You retain all rights to odds data from your sources. We process your data solely to provide the Service.

6.3 License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service according to these Terms.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy , which is incorporated by reference.

8. Service Availability

8.1 SLA

We target 99.5% uptime for Base/Pro plans and custom SLAs for Enterprise. See service status at status.wagerkit.xyz.

8.2 Maintenance

We may perform scheduled maintenance with advance notice. Emergency maintenance may occur without notice.

8.3 No Guarantee

The Service is provided "as is" without warranties of any kind, express or implied.

9. Limitation of Liability

To the maximum extent permitted by law, WagerKit shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages exceeding amounts paid in the past 12 months

Some jurisdictions do not allow limitation of liability, so these limits may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless WagerKit from claims arising from:

• Your use of the Service
• Violation of these Terms
• Infringement of third-party rights
• Your odds source data or integrations

11. Third-Party Services

The Service may integrate with third-party services (Stripe, Supabase, etc.). Your use of those services is subject to their terms.

12. Termination

12.1 By You

You may terminate your account at any time through the Console or by contacting support.

12.2 By Us

We may suspend or terminate your account for:

• Violation of these Terms or Acceptable Use Policy
• Non-payment
• Fraud or abuse
• Legal or regulatory requirements

12.3 Effect

Upon termination, your access ends immediately. Data retention follows our Privacy Policy.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Delaware, United States, without regard to conflict of law principles.

13.2 Arbitration

Disputes will be resolved through binding arbitration, except where prohibited by law. You waive the right to participate in class actions.

13.3 Exceptions

Either party may seek injunctive relief in court for IP infringement or breach of confidentiality.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or platform notice 30 days in advance. Continued use constitutes acceptance.

15. Miscellaneous

15.1 Entire Agreement

These Terms, Privacy Policy, and AUP constitute the entire agreement between you and WagerKit.

15.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

15.3 Waiver

Failure to enforce any right does not constitute a waiver of that right.

15.4 Assignment

You may not assign these Terms. We may assign them without notice.

You agree to comply with all export laws and regulations. The Service may not be exported or re-exported to embargoed countries or sanctioned parties.

18. Government Users

If you are a U.S. government entity, the Service is a "commercial item" as defined in FAR 2.101 with standard commercial terms.
